Terms and Conditions

1. Scope of Work
The Freelancer agrees to provide fashion/design services as outlined in the attached Project Proposal. Any modifications to the project scope, deliverables, or deadlines must be agreed upon in writing by both parties.

2. Payment Terms

  • Deposits & Installments: A non-refundable deposit of 25% is required before work commences. The remaining balance will be billed in installments as specified in the project proposal.
  • Invoicing: Invoices are issued on a [weekly/monthly/milestone] basis and are payable within 14days of the invoice date.
  • Late Fees: Overdue invoices will accrue a late fee of 5% per week compounded on the outstanding balance until paid in full. Work may be paused if payments are delayed.

3. Revisions & Approvals
The project proposal includes 2 rounds of revisions. Any additional changes, redesigns, or major concept alterations requested after these rounds are completed will be billed at the Freelancer’s standard hourly rate of £25/hour.

4. Intellectual Property (IP)

  • Ownership: Upon full and final payment, the Freelancer transfers all intellectual property rights for the finalised designs/deliverables to the Client.
  • Portfolio Rights: The Freelancer retains the right to display all created materials, sketches, and final products in their professional portfolio and on social media for promotional purposes, unless a strict Non-Disclosure Agreement (NDA) is signed prior to the project. 

5. Deadlines & Client Responsibilities
The Freelancer will make every commercially reasonable effort to meet agreed-upon deadlines. The Client agrees to provide necessary feedback, fabric swatches, measurements, or brand assets within 3 business days. Delays on the Client’s end may result in a proportional extension of the Freelancer’s delivery deadlines.

6. Cancellation & Termination
Either party may terminate the agreement with 14 days’ written notice. In the event of cancellation by the Client, the Client is responsible for payment for all hours worked and services rendered up to the date of cancellation, plus any non-recoverable expenses incurred by the Freelancer. 

7. Confidentiality
The Freelancer agrees to keep all proprietary business methods, unreleased collection details, and Client trade secrets strictly confidential. Such information will not be shared with any third party without explicit permission.
